The client decided to close an SL that had been inactive for 2 years. Annual accounts had not been filed with the Registro Mercantil and minimum taxes had not been paid. Fines, cierre de hoja, and automatic deregistration with personal liability for the founder were imminent.
Solution
Our accountants and lawyers prepared and filed all overdue Cuentas Anuales, settled the AEAT debt, formally resolved dissolution and liquidation, appointed a liquidator, prepared the balance de liquidación, and processed the cancelación registral.
